The October 28, 2026, decision by unitholders of the Grand Royal Orchid Hospitality Real Estate Investment Trust (GROREIT) represents a significant turning point in a prolonged disagreement over the hotel’s repurchase arrangements. As this Thailand Hotel News report examines, the acquisition introduces a major regional real estate investor into the ownership picture while raising important questions about the property’s future, outstanding contractual obligations, and whether the transaction can be completed within its ambitious timetable.
SC Capital Founder Controls Newly Established Acquisition Company
Orchid Hospitality Co., Ltd., the company acquiring the Royal Orchid Sheraton Hotel and Towers, was incorporated in Thailand on July 8, 2026, ahead of the proposed transaction.
The company is controlled by Suchad Chiaranussati, founder and chairman of SC Capital Partners, who holds a reported 99.99 percent ownership stake.
This ownership structure effectively places the acquisition under the control of SC Capital’s founder, although Orchid Hospitality is the legal purchasing entity rather than SC Capital Partners itself.
The newly established company submitted the successful 5.3 billion baht offer for the landmark hotel, positioning itself ahead of an earlier repurchase proposal from Royal Orchid Hotels (Thailand) Public Company Limited (ROH).
The transaction underscores continued investor interest in established Bangkok hospitality properties, particularly those occupying prestigious waterfront locations with substantial underlying real estate value.
Investors Reject Lower Offer and Approve 5.3 Billion Baht Sale
At an extraordinary general meeting on October 28, GROREIT unitholders decisively rejected ROH’s proposal to repurchase the hotel assets for 4.873 billion baht.
Approximately 91 percent voted against the proposal, while only around 7 percent supported it.
Instead, investors approved selling the property to Orchid Hospitality for 5.3 billion baht, with an overwhelming 97.66 percent voting in favor.
The approved transaction represents approximately 427 million baht more than ROH’s proposed repurchase price.
Unitholders also endorsed an alternative auction process should the acquisition fail, with approximately 95 percent supporting the contingency arrangement.
Additionally, investors approved dissolving GROREIT following the successful disposal of its assets and distribution of the remaining proceeds.
Poj Harinsut, Chief Executive Officer of One Asset Management, which manages GROREIT, indicated that the trust would expedite the necessary contractual arrangements.
November 11 Deadline Creates Pressure to Complete Acquisition
Under the approved arrangements, Orchid Hospitality must provide an initial deposit of 100 million baht upon signing the acquisition agreement.
The remaining 5.2 billion baht must subsequently be paid, with the property transfer completed within 14 days, establishing November 11, 2026, as the targeted settlement deadline.
One Asset Management expects to terminate the previous contractual arrangement and execute the new agreement shortly after the unitholders’ meeting.
If the transaction proceeds successfully, GROREIT intends to coordinate with the Stock Exchange of Thailand to distribute the remaining proceeds to investors.
Management hopes to complete the process and wind up the trust before the end of November.
However, the acquisition timetable remains dependent on contractual execution, settlement arrangements, and outstanding issues involving the property’s existing lessee.
Legal Dispute Threatens to Complicate Hotel Transfer
The acquisition comes amid a legal confrontation between GROREIT and Royal Orchid Hotels (Thailand).
According to the trust, the original lease and repurchase arrangements expired on July 14, 2026, but ROH failed to complete the agreed repurchase or surrender the hotel assets.
MFC Asset Management, acting as trustee, subsequently requested the return of the property on July 15.
With the dispute unresolved, One Asset Management and MFC initiated legal proceedings against ROH in Bangkok South Civil Court on October 21.
The lawsuit alleges contractual breaches and seeks the return of the hotel premises, together with the transfer of operational agreements, parking rights, guarantees, and relevant hotel licenses.
The trust is also pursuing outstanding rental payments dating from May 2026, annual interest of 5 percent, and compensation for alleged losses.
Additionally, GROREIT has requested a temporary court order requiring ROH to deposit 25 million baht monthly as security against potential damages.
That request remains subject to judicial consideration and does not constitute an existing court order.
More Than Twenty Investors Express Interest
Although the SC Capital founder-backed acquisition has received overwhelming investor approval, GROREIT has prepared an alternative strategy should the transaction collapse.
Unitholders have authorized a competitive auction, which management estimates could require approximately six months.
According to Poj, more than 20 interested parties have approached the trust since the original repurchase deadline passed in July.
Several reportedly represent major investment groups, demonstrating the considerable commercial interest surrounding the hotel’s riverside location.
The property’s freehold land and established hospitality operations are among the factors contributing to its investment appeal.
Nevertheless, the approved Orchid Hospitality transaction currently offers the most immediate route toward realizing the property’s value.
Investors Could Receive Approximately 3.95 Billion Baht
The proposed acquisition carries substantial financial implications for GROREIT unitholders.
Government Savings Bank has granted the trust a six-month extension on repayment of its outstanding 1.35 billion baht principal debt, moving the deadline to January 15, 2027.
Following completion of the 5.3 billion baht sale, management expects to settle that borrowing and distribute approximately 3.95 billion baht to investors.
The trust would subsequently be dissolved.
Based on management’s investment assumptions, unitholders could achieve an internal rate of return of approximately 9 percent.
Final distributions will depend on the completed transaction, applicable expenses, and settlement arrangements.
A Major Turning Point for Bangkok’s Riverside Hospitality Market
The acquisition of the Royal Orchid Sheraton Hotel and Towers by Orchid Hospitality, controlled by SC Capital Partners founder Suchad Chiaranussati, represents an important development in Bangkok’s luxury hotel investment market.
The overwhelming approval from GROREIT unitholders provides a clear mandate for the transaction, although outstanding legal proceedings and contractual obligations remain significant considerations.
With the November 11th settlement deadline approaching, attention will focus on whether the acquisition can proceed as planned. Successful completion would establish a new ownership structure for one of Bangkok’s most recognizable riverside hotels, while potentially opening opportunities for future investment in the property. The outcome will also demonstrate how major hospitality transactions can proceed amid complex disputes over leases, repurchase rights, and control of valuable real estate assets.
