The latest development follows questions surrounding the expiry of the hotel’s lease agreement and ROH’s ability to complete the substantial asset repurchase. ROH Managing Director Witawat Wipakul has now formally communicated with the Stock Exchange of Thailand (SET), outlining the company’s financial position, the progress of the proposed transaction and its plans to address minority shareholder free-float requirements. Importantly, this Thailand Hotel News report notes that ROH maintains that the Royal Orchid Sheraton Riverside Bangkok continues to operate normally despite the changes taking place behind the scenes.
Royal Orchid Sheraton Remains Open Following Expiry
One of the most important points contained in ROH’s clarification concerns the operational status of the Royal Orchid Sheraton Riverside Bangkok following the expiry of the GROREIT buy back agreement on July 14, 2026.
ROH stressed that expired deadlines has not resulted in any interruption to the hotel’s business. The property remains open and continues its normal operations, while the company continues to recognize revenue generated from those operations.
The clarification is significant because the Royal Orchid Sheraton Riverside Bangkok is a major hospitality asset occupying a prominent location along Bangkok’s Chao Phraya River. Uncertainty surrounding ownership arrangements or financing could naturally raise questions among investors, business partners and other stakeholders about whether the property might experience operational disruption.
ROH, however, has sought to make clear that the negotiations and financial arrangements surrounding the asset repurchase are separate from the hotel’s day-to-day operations.
ROH Says Its Liquidity Remains Strong
The company also addressed concerns over whether a transaction approaching 4.9 billion baht could place pressure on its finances.
According to ROH, its latest cash-flow projections indicate that the company continues to maintain sufficient liquidity to support normal business activities. Management also believes the company remains in a position to secure the financing necessary to complete the repurchase of the hotel assets under the existing agreement.
This financial assurance is particularly important given the size of the proposed transaction. At 4.873 billion baht, the repurchase represents a substantial commitment and means the structure and availability of funding will remain closely watched until the transaction is completed.
The emergence of a financial partner therefore represents an important step forward for ROH, although the company has made clear that several conditions still need to be satisfied before the financing arrangement can be considered final.
ROH Formally Confirms Intention to Repurchase Hotel Assets
It was reported that on August 14, 2026, ROH sent a formal letter to MFC Asset Management Public Company Limited, acting as trustee of the Grand Royal Orchid Hospitality Real Estate Investment Trust (GROREIT), as well as One Asset Management Company Limited, the trust manager.
Through the communication, ROH confirmed both its intention and its stated ability to exercise its contractual right to repurchase the assets used in the operation of the Royal Orchid Sheraton Riverside Bangkok.
The agreed repurchase value is 4,873 million baht.
The confirmation provides greater clarity over ROH’s intended direction following the expiry of the lease and signals that the company wants to move forward with the purchase, sale and eventual transfer of ownership of the assets in accordance with the contractual arrangements.
New Financial Partner Emerges, But Conditions Remain
Perhaps the most significant development is ROH’s disclosure that it has received cooperation and financial support from a financial partner.
The identity of the financial partner was not disclosed in the information released by the company. More importantly, the proposed support remains subject to several conditions.
These include the satisfactory completion of due diligence, the receipt of relevant approvals and the execution of final contractual documentation. As a result, while securing the involvement of a financial partner is a major development, the financing process has not yet reached the point where all conditions can be considered completed.
ROH said it has also worked to ensure that GROREIT fulfills its contractual obligations so that the purchase, sale and transfer of ownership of the hotel assets can ultimately be completed successfully.
The coming stages of the process will therefore be crucial. Due diligence findings, financing approvals and the signing of definitive agreements will determine whether ROH can translate its stated repurchase intention into a completed transaction.
Free-Float Issue Also Being Addressed
Alongside the hotel asset transaction, ROH is dealing with another corporate issue involving the proportion of shares held by minority shareholders.
The company said it continues to consider appropriate approaches to resolving its free-float situation in order to comply with Stock Exchange of Thailand requirements. One possibility under consideration is bringing in additional investors to increase the proportion of shares held by minority shareholders.
ROH has emphasized that discussions surrounding the repurchase of the Royal Orchid Sheraton hotel assets have not affected the hotel’s operations.
The company also reiterated that its decisions and actions are being undertaken with consideration for the interests of the company, its shareholders and other stakeholders. Any further material developments are expected to be communicated to shareholders, investors and the SET once greater clarity has been achieved.
A Major Step, But the Final Transaction Still Has to Be Completed
ROH’s confirmation that it has found a financial partner provides a significant boost to its effort to regain ownership of the Royal Orchid Sheraton Riverside Bangkok assets and gives the market greater visibility over how the 4.873-billion-baht transaction could be financed.
At the same time, the deal should not be regarded as completed until due diligence, required approvals, definitive financing arrangements and the final purchase and transfer documentation have all been successfully concluded. What is clear for now is that ROH intends to proceed with the repurchase, says it has sufficient liquidity for normal operations and maintains that the hotel continues to welcome guests without disruption. The next announcements from ROH will therefore be closely watched for confirmation that the financing and ownership transfer have moved from intention to completion.
