Thailand’s popular island destination of Koh Tao is set for a major hospitality expansion as G Capital Public Company Limited (GCAP) prepares to invest in an ambitious 1.86 billion baht tourism development. The proposed Koh Tao Lifestyle Complex represents GCAP’s strategy to diversify into hospitality and real estate while capitalizing on the island’s growing tourism market. As highlighted in this Thailand Hotel News report, the development will also involve substantial foreign investment, with a French investor group expected to acquire a 49% stake. The complex is scheduled to begin operations in the fourth quarter of 2031, subject to necessary approvals.
Major Investment Signals New Direction for GCAP
GCAP disclosed to the Stock Exchange of Thailand that its board approved the proposed investment framework on October 22nd, 2026. The company will seek shareholder authorization at an extraordinary general meeting scheduled for November 27th.
The approximately 1.86 billion baht development will be undertaken through Koh Tao Hillsland Co., Ltd., a joint venture established to oversee the project.
GCAP plans to subscribe to additional shares worth up to 458 million baht before transferring shares valued at up to 98 million baht to Azul Marino Capital Co., Ltd., director Nattapol Sarasas, or other eligible investors.
Following the proposed restructuring, GCAP will retain 40% ownership, Nattapol’s group will control 11%, and French investor David Jacques Didier Wertheimer and associated investors will hold the remaining 49%.
The French investment commitment totals approximately 441 million baht, payable in installments over five years.
Two Hotels Planned Across Expansive Island Site
The Koh Tao Lifestyle Complex will occupy approximately 191 rai, one ngan, and eight square wah of state-owned land in Koh Tao Subdistrict, Koh Phangan District, Surat Thani Province.
Plans call for two hotels containing approximately 340 guestrooms, with operations entrusted to a hospitality management company possessing international experience.
The development aims to accommodate increasing numbers of domestic and overseas visitors while strengthening Koh Tao’s position within Thailand’s competitive island tourism market.
An important component involves land lease rights. GCAP intends to acquire these rights from Koh Tao Hills Co., Ltd. for up to 130 million baht before transferring them to the joint venture for up to 450 million baht.
However, the transaction requires authorization from the Ministry of Finance through the Treasury Department.
Koh Tao Tourism Growth Strengthens Investment Case
Tourism figures provide an encouraging backdrop for the proposed development.
According to GCAP, Koh Tao welcomed 407,679 visitors during the first half of 2026, representing a 14% increase compared with the corresponding period in 2025.
The Koh Tao Tourism Business Association anticipates at least 800,000 visitors throughout 2026, generating tourism revenue exceeding 10 billion baht.
Beyond hotel operations, GCAP sees opportunities to expand its lending portfolio into tourism-related financing, including speedboat loans and electric motorcycle hire-purchase services.
These activities could establish additional revenue channels alongside the company’s existing financial services.
Shareholder Approval Remains Crucial
Despite the project’s substantial overall investment value, GCAP estimates its net cash outflow at approximately 53.23 million baht under the proposed transaction structure.
The asset acquisition represents 284.32% under the applicable transaction-size calculation, while related-party transactions total approximately 569.23 million baht.
Consequently, approval requires support from at least three-quarters of eligible shareholder votes represented at the November meeting, excluding interested shareholders.
A Potential New Chapter for Koh Tao
If approved and successfully completed, the Koh Tao Lifestyle Complex could introduce substantial new hotel capacity while attracting international hospitality expertise and investment. Nevertheless, regulatory permissions, construction timelines, and tourism demand will remain important considerations. For GCAP, the venture represents both a significant diversification opportunity and a long-term commitment to Thailand’s island tourism economy.
