According to market rumors and speculation circulating in Thailand’s financial sector, global alternative investment firm Bain Capital has been identified as the possible financial partner that could support Royal Orchid Hotel (Thailand) Public Company Limited (ROH) in its proposed repurchase of the assets used to operate the Royal Orchid Sheraton Riverside Hotel Bangkok.

ROH has confirmed that it is receiving cooperation and financial support from an unnamed financial partner as it seeks to complete the THB4.873 billion asset repurchase from Grand Royal Orchid Hospitality Real Estate Investment Trust (GROREIT). However, the company has not publicly identified that partner.

Market sources cited in Thai financial media have pointed to Bain Capital, and midway through the speculation surrounding the transaction, this Thailand Hotel News report stresses that Bain Capital’s involvement remains unconfirmed and would reportedly depend on due diligence, internal approvals and the completion of definitive agreements.

Bain Capital Brings Considerable Financial Firepower

The possible involvement of Bain Capital is significant because of the scale and international reach of the Boston-headquartered investment group. Founded in 1984, Bain Capital has developed into one of the world’s major private investment firms, managing more than US$220 billion across a range of strategies.

Its activities extend well beyond traditional private equity. The group operates across private credit, special situations, venture capital, real estate and other investment strategies, giving it considerable experience in structuring financing for complex corporate and asset-backed transactions.

For the Thai hospitality market, Bain Capital’s reported appearance in discussions would therefore introduce a financial partner with substantial experience in providing alternative capital solutions, particularly where conventional financing structures may not be the most appropriate route.

Possible Bridge Financing Structure

According to market speculation, a potential transaction could resemble bridge or refinancing arrangements, with Bain Capital providing financing that would enable ROH to complete the THB4.873 billion repurchase.

ROH could subsequently be required to repay the financing according to agreed terms, potentially involving a buy-back option and interest payments. The precise structure, however, has not been officially disclosed, and there is currently no confirmation that Bain Capital has approved or committed to the transaction.

ROH informed the Stock Exchange of Thailand that it wrote to MFC Asset Management, as trustee of GROREIT, and One Asset Management, the REIT manager, on August 14 confirming its intention and ability to exercise its repurchase right. The hotel, meanwhile, has continued operating normally following the expiry of the previous lease agreement on July 14.

A Transaction Worth Watching

If the market speculation proves accurate, Bain Capital’s participation could provide ROH with the financial capacity and additional time required to pursue the hotel repurchase while potentially avoiding an open sale process. Much will depend on due diligence, negotiations, investment approvals and the final financing structure, making the coming developments particularly important for Thailand’s hotel investment community.
